Terms of Service

These Terms of Service ("Terms") govern your use of the Hangeo platform, mobile application (the "App"), website, and all related services (collectively, the "Service") operated by Harrisey Labs, LLC ("Hangeo," "we," "us," "our"). These Terms function as an end user license agreement for the App. By accessing or using the Service, you agree to be bound by these Terms, our Privacy Policy, Community Guidelines, and all other policies incorporated by reference. If you do not agree, do not use the Service.

1. Platform Status

Hangeo is a technology platform. We provide software tools that connect dancers, event organizers, and communities. We do not organize, produce, staff, manage, or operate any event listed on the Service. We do not control venues, supervise attendees, set admission requirements, or assume any responsibility for the planning, safety, legality, or execution of any event.

All events are organized solely by independent third-party organizers who bear exclusive responsibility for their events in all respects. Hangeo makes no representation or warranty of any kind regarding any event and is not a party to any agreement between organizers and attendees. Attending any event is entirely at your own risk.

Assumption of Risk: Events

Social gatherings and live dance events involve inherent and foreseeable risks, including but not limited to physical injury from dancing, crowd conditions, slippery or uneven floors, loud noise, intoxicated attendees, and other conditions typical of social and nightlife environments. By using the Service to discover, RSVP to, or attend any event, you voluntarily assume all such inherent risks. Hangeo is not responsible for any injury, loss, damage, or harm, physical, financial, or otherwise, that arises from or in connection with your attendance at any event discovered through the Service.

2. Eligibility

The Service is intended solely for users who are 18 years of age or older. By using the Service, you represent and warrant that you are at least 18. We do not knowingly collect information from persons under 18. If we determine that a user is under 18, we will terminate that account without notice.

If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes that organization.

3. Account Registration

You agree to:

• Provide accurate, complete, and current registration information
• Maintain the security of your password and account credentials
• Notify us immediately of any unauthorized use of your account
• Accept full responsibility for all activity that occurs under your account

We reserve the right to refuse registration or terminate any account at our sole discretion, with or without notice, for any reason or no reason.

4. License to Use the App

Subject to these Terms, Hangeo grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the App for your personal, non-commercial use on devices that you own or control, as permitted by the usage rules of the app store from which you obtained the App (including the Apple App Store Usage Rules set forth in the Apple Media Services Terms and Conditions). This license does not allow you to use the App on any device you do not own or control, and you may not distribute or make the App available over a network where it could be used by multiple devices at the same time.

5. User Content License

The Service allows you to submit, upload, post, and share content, including text, images, event listings, comments, and other materials ("User Content").

By submitting User Content, you grant Hangeo a worldwide, non-exclusive, royalty-free, sublicensable, transferable, and perpetual license to host, store, reproduce, modify, adapt, create derivative works of, publicly perform, publicly display, distribute, and otherwise use your User Content in connection with operating, improving, promoting, and developing the Service and related technologies, including for training machine learning models, building recommendation systems, and generating aggregated or de-identified insights, in any media format now known or hereafter developed.

You represent and warrant that: (a) you own or have sufficient rights to your User Content; (b) your User Content does not infringe any third-party intellectual property, privacy, or publicity rights; (c) your User Content does not violate applicable law; and (d) your User Content complies with our Community Guidelines.

6. Community Standards and Objectionable Content

Hangeo has zero tolerance for objectionable content and abusive users. Content that is unlawful, obscene, pornographic, defamatory, discriminatory, threatening, harassing, or otherwise objectionable, and users who post such content or abuse other users, are not permitted on the Service. Our Community Guidelines describe these standards in detail and are incorporated into these Terms.

Safety Tools

The App provides tools to keep the community safe:

• Report: you can report any content, event listing, or user directly in the App, or by emailing support@hangeo.app
• Block: you can block any user to prevent them from interacting with you on the Service
• Moderation: we filter and review content and act on violations

We review reports of objectionable content and act on them promptly, ordinarily within 24 hours of receipt, by removing the content and, where warranted, warning, suspending, or permanently removing the user who provided the offending content. By using the Service, you agree that you will not post objectionable content and that we may remove your content or terminate your account for violations of this Section, with or without notice.

7. Platform Data Rights

By using the Service, you acknowledge and agree that Hangeo may:

• Collect, process, and analyze data generated by your use of the Service, including usage patterns, interactions, preferences, behavioral signals, and engagement data
• Use platform data to build, train, and improve recommendation systems, content ranking algorithms, relevance models, and machine learning systems
• Conduct A/B tests, product experiments, and platform research using platform data
• Generate Aggregated Data (as defined below) from platform activity
• Use Aggregated Data for any commercial purpose, including product development, business intelligence, investor reporting, partnerships, and research, without restriction

Aggregated Data

"Aggregated Data" means data derived from platform activity that has been combined, summarized, anonymized, or de-identified such that it does not identify, and cannot reasonably be used to identify, any individual user. Aggregated Data is not personal data. Hangeo owns all Aggregated Data and may use it without restriction for:

• Platform analytics and performance measurement
• Machine learning model training and improvement
• Recommendation system development and optimization
• Product development and feature prioritization
• Market research and commercial insights
• Investor reporting and strategic planning
• Publication of anonymized industry or community statistics

Use of personal data is governed by our Privacy Policy. The rights in this Section apply to Aggregated Data and do not limit your rights under applicable privacy law with respect to personal data.

8. Prohibited Conduct

You agree not to:

• Violate any applicable law or regulation
• Post false, misleading, or fraudulent content or event listings
• Harass, threaten, intimidate, or abuse any user
• Discriminate against any person based on protected characteristics
• Infringe any intellectual property rights
• Scrape, crawl, or use automated tools to extract data without authorization
• Create fake accounts or impersonate any person or entity
• Send unsolicited commercial communications (spam)
• Use the Service to facilitate illegal activity of any kind
• Reverse engineer or attempt to extract source code from the Service
• Circumvent any security, access control, or rate-limiting measures
• Upload malware or any code designed to harm the Service or its users

Violation of this Section may result in immediate account termination and may expose you to civil or criminal liability.

9. Organizers

If you use the Service to create or promote events ("Organizer"), you represent, warrant, and agree that you are solely responsible for:

• Permits and licensing: obtaining all required government permits, venue licenses, alcohol licenses, public assembly permits, and any other authorizations required by applicable law
• Safety: ensuring reasonable safety measures at your event, including compliance with venue capacity limits, crowd management, and applicable safety codes
• Legal compliance: ensuring your event and all related activities comply with applicable local, state, national, and international law
• Event operations: all aspects of event planning, staffing, execution, cancellation, and attendee communications
• Accurate listings: ensuring event listings are truthful, complete, and not misleading
• Attendee data: not using attendee data obtained through the Service for purposes unrelated to the event

Organizers are independent third parties. Hangeo is not a co-organizer, partner, co-promoter, or agent of any organizer. Hangeo does not endorse, vet, guarantee, or assume any liability for any organizer, event, or event outcome. Hangeo does not sell tickets and is not responsible for event cancellations, refunds, or disputes between organizers and attendees.

Verified Organizer Badge

Some organizers may display a "Verified Organizer" badge on their profile and event listings. This badge has a limited and specific meaning. It indicates only that the organizer submitted self-reported information (including their name, organization name, city, and links to their events or social presence) and that Hangeo reviewed that submission at the time of approval.

The Verified Organizer badge does not mean that Hangeo has:

• Verified the organizer's legal identity or government-issued documents
• Confirmed the organizer holds required permits or licenses for any event
• Inspected, attended, or audited any of the organizer's events
• Investigated the organizer's financial, criminal, or professional history
• Guaranteed or warranted the safety, legitimacy, or quality of any event
• Endorsed or recommended the organizer or their events in any way

Verification status may be revoked at any time at Hangeo's sole discretion. Hangeo is not liable for any harm arising from a verified organizer's conduct, events, or misrepresentations. Attending any event, whether organized by a verified organizer or not, is entirely at your own risk.

10. Subscriptions and In-App Purchases

Certain features of the Service (currently organizer analytics under the "Insight" plan) are offered as optional paid auto-renewing subscriptions purchased through the app store on your device (the Apple App Store or Google Play).

Billing and Auto-Renewal

• Payment is charged to your Apple ID or Google account at confirmation of purchase, at the price shown in the App before you subscribe (currently $19.99 per month for Insight; prices may vary by region and are subject to applicable taxes)
• Subscriptions automatically renew for successive periods of the same length unless auto-renew is turned off at least 24 hours before the end of the current period
• Your account is charged for renewal within 24 hours before the end of the current period, at the then-current price
• You can manage and cancel subscriptions at any time in your App Store or Google Play account settings; cancellation takes effect at the end of the current billing period, and you retain access until then
• Deleting the App or your Hangeo account does not cancel a subscription; you must cancel through your app store account settings
• If you change devices or reinstall the App, you can restore an active subscription using the restore purchases option

Refunds and Price Changes

All purchases are billed by, and refunds are handled by, the app store through which you purchased, not by Hangeo. Refund requests are subject to the policies of Apple or Google, as applicable. If we change the price of a subscription, we will provide notice as required by the applicable app store, and the change will apply no earlier than your next renewal; where required, your consent will be obtained before a price increase applies. Free tiers, quotas (such as monthly event publishing limits), and features may be modified at any time.

11. Account Deletion

You may delete your Hangeo account at any time from Settings in the App. Deletion is immediate and permanent: your profile, connections, follows, RSVPs, and personal data are removed as described in our Privacy Policy. Event listings you created as an Organizer may be preserved in anonymized form, disassociated from your account. Deleting your account does not cancel any active app store subscription; cancel the subscription in your App Store or Google Play settings.

12. Intellectual Property

The Service and all content, features, design, software, logos, and trademarks are owned by Harrisey Labs, LLC and protected by applicable intellectual property law. You may not reproduce, distribute, or create derivative works without our express written permission. The Hangeo name, logo, and wordmark are trademarks of Harrisey Labs, LLC. Copyright concerns may be reported under our DMCA process via support@hangeo.app.

13. Feedback

If you submit ideas, suggestions, or feedback about the Service ("Feedback"), you grant Hangeo a royalty-free, worldwide, irrevocable, perpetual license to use and incorporate that Feedback without any obligation, compensation, or attribution to you.

14. Third-Party Services

The Service may link to or integrate third-party services. We have no control over third-party content, privacy practices, or services, and assume no responsibility for them. Your use of third-party services is governed solely by their terms. You agree to comply with all applicable third-party terms of agreement when using the App (for example, your wireless data service agreement).

15. No Duty to Monitor

Except as expressly described in Section 6 (Community Standards and Objectionable Content), Hangeo has no obligation to monitor, screen, pre-approve, review, or investigate any User Content, event listing, organizer, or user conduct. Any moderation we choose to perform is discretionary. Exercising or failing to exercise moderation discretion does not create any duty, obligation, or liability on our part.

The organizer verification process, where offered, is a voluntary and discretionary service. Hangeo's decision to grant, deny, maintain, or revoke a Verified Organizer badge does not create any duty of care to any user, does not constitute an endorsement, and does not impose any obligation on Hangeo to continuously investigate or monitor verified organizers. Hangeo may discontinue the verification program at any time without notice or liability.

16. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, SECURITY, OR UNINTERRUPTED AVAILABILITY. WE MAKE NO WARRANTY REGARDING ANY EVENT, ORGANIZER, OR USER-GENERATED CONTENT ON THE PLATFORM. ATTENDANCE AT ANY EVENT IS ENTIRELY AT YOUR OWN RISK.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HANGEO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION.

HANGEO SHALL NOT BE LIABLE FOR DAMAGES ARISING FROM: (A) YOUR USE OR INABILITY TO USE THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY USER OR ORGANIZER; (C) ANY EVENT YOU ATTEND; (D) ANY UNAUTHORIZED ACCESS TO YOUR DATA; OR (E) ANY INTERRUPTION OR CESSATION OF THE SERVICE.

IN NO EVENT SHALL HANGEO'S TOTAL AGGREGATE LIABILITY EXCEED THE GREATER OF: (A) ONE HUNDRED US DOLLARS ($100); OR (B) AMOUNTS YOU PAID TO HANGEO IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

These limitations apply even if Hangeo has been advised of the possibility of such damages and even if a remedy fails of its essential purpose. Some jurisdictions limit liability waivers; in those jurisdictions, limitations apply to the maximum extent permitted.

18. Indemnification

You agree to defend, indemnify, and hold harmless Hangeo and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your User Content; (c) any event you organize or attend; (d) your violation of these Terms; or (e) your violation of any law or the rights of any third party.

19. Moderation, Modification, and Termination

Moderation

Hangeo reserves the right, at its sole discretion and without notice or liability, to: remove any User Content; suspend or terminate any account; remove any event listing or organizer account; restrict access to any feature; or refuse service to any person. No reason need be given. Moderation actions are made at our sole discretion and are final; we make no commitment to investigate, review, or reverse any such decision.

Service Modification and Discontinuation

Hangeo reserves the right, at its sole discretion and at any time without notice or liability, to: modify, update, or change any aspect of the Service or its features; suspend the Service or any feature temporarily or permanently; or discontinue the Service in its entirety. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Service. You agree not to hold Hangeo responsible for any loss or inconvenience arising from any such change. Continued use of the Service after any modification constitutes acceptance of those changes.

Provisions that by their nature should survive termination, including Sections 1, 5, 7, 12, 13, 16, 17, 18, 20, 21, and 22, will survive.

20. Apple App Store and Google Play Terms

This Section applies when you use the App downloaded from the Apple App Store or Google Play. Apple Inc. ("Apple") and Google LLC ("Google") are referred to below as the "App Store Provider."

• Acknowledgement. These Terms are between you and Hangeo only, not with the App Store Provider. Hangeo, not the App Store Provider, is solely responsible for the App and its content. Your use of the App must also comply with the App Store Provider's applicable terms of service (including the Apple Media Services Terms and Conditions Usage Rules).
• Maintenance and support. Hangeo is solely responsible for providing any maintenance and support services for the App. The App Store Provider has no obligation to furnish any maintenance or support services for the App.
• Warranty. Hangeo is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. In the event of any failure of the App to conform to an applicable warranty, you may notify Apple, and Apple will refund the purchase price of the App (if any) to you. To the maximum extent permitted by law, the App Store Provider has no other warranty obligation whatsoever with respect to the App, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty are Hangeo's sole responsibility.
• Product claims. Hangeo, not the App Store Provider, is responsible for addressing any claims by you or any third party relating to the App or your possession and/or use of the App, including: (a) product liability claims; (b) any claim that the App fails to conform to any applicable legal or regulatory requirement; and (c) claims arising under consumer protection, privacy, or similar legislation.
• Intellectual property claims. In the event of any third-party claim that the App or your possession and use of the App infringes that third party's intellectual property rights, Hangeo, not the App Store Provider, is solely responsible for the investigation, defense, settlement, and discharge of any such claim.
• Legal compliance. You represent and warrant that: (a) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (b) you are not listed on any U.S. Government list of prohibited or restricted parties.
• Developer contact. Questions, complaints, or claims regarding the App may be directed to Harrisey Labs, LLC at support@hangeo.app or via our contact page.
• Third-party beneficiary. Apple and Apple's subsidiaries are third-party beneficiaries of these Terms as they relate to your license of the App. Upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary thereof.

21. Dispute Resolution: Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT WAIVES YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN CLASS ACTIONS.

Mandatory Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Service ("Dispute") will be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, except for Disputes that qualify for small claims court. The arbitration will be conducted in English.

Class Action Waiver

YOU AND HANGEO EACH WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT, CLASS-WIDE ARBITRATION, PRIVATE ATTORNEY GENERAL ACTION, OR ANY OTHER REPRESENTATIVE PROCEEDING. If this waiver is found unenforceable, the entire arbitration provision is void and any dispute must be litigated individually in court.

Opt-Out

You may opt out of arbitration within 30 days of first accepting these Terms by emailing support@hangeo.app with subject line "Arbitration Opt-Out." Opt-out does not affect the class action waiver.

Governing Law

These Terms are governed by the laws of the State of Georgia, without regard to conflict of law principles. Subject to the arbitration agreement, you consent to the exclusive jurisdiction of the federal and state courts located in Georgia.

22. General

Entire Agreement. These Terms, together with our Privacy Policy, Community Guidelines, Cookie Policy, and any additional incorporated terms, constitute the entire agreement between you and Hangeo regarding the Service.

Severability. If any provision is found unenforceable, it will be modified to the minimum extent necessary, and the remaining provisions will continue in full force.

Assignment. You may not assign these Terms. Hangeo may assign these Terms in connection with a merger, acquisition, or sale of assets.

No Agency. Nothing in these Terms creates an employment, partnership, or agency relationship between you and Hangeo.

Changes. We may update these Terms at any time. Material changes will be notified via email or prominent notice on the Service. Continued use after the effective date constitutes acceptance.
